Another common misconception is that you can transfer a preinstalled or OEM copy of Windows from an "old" machine to a new machine. An OEM software license may not be transferred from and old machine to a new machine—even if that machine is no longer in use. The OEM license is tied to the machine on which it was originally installed and can't be transferred to other machines. Please advise your customers of this licensing rule. If they request a "naked" PC and are planning to transfer an old OEM operating system license to the new machine—they will not have a legal license to run Windows on this new machine.
 
lets say i pay a few grand for a new server..and the windows lisence which came with it. Unfortunately, the server gets hit by lighting next day and is totally destroyed. Why heck in real world i cant just buy another OS-less machine and install the same lisence which came with the previous machine.. since the previous machine has been destroyed, hence does not exsist in useable form anymore how ever i still have the lisence i paid for.
 
thats like.. the owner of a brand new ferrari dies in a heart attack but his kids dont have a right to inherit the car because it was initially sold to the victim of heart attack..

that is why programmer jobs are leveling with construction workers wages and more of them are being moved offshore while software gaints continue to be wealthies people on earth..while the end users gets bug loaded vunerable software, which are being exploited by 14 years old on daily basis to create a havoc..
 
i say M$ starts tieing the OS to unique serial of every CPU soon and let everyone see what happens!! i would be intrested in the findings..

On your first issue, if something like that happens you can depending on the vondor give the license back and it get's re-issues. Something similar happened to one of our Dell Servers. It went up in smoke after 3 days (our fault not Dells') and when we ordered a replacement they issues a license replacement deed or something like that.

ohh well shiet is different here..all clause like that are used for benefit of vendor to maximise sale.. so screw the eula~!!
