US Company Formation

Wonder if anyone can help. I am looking to start a business in the USA, I currently have my business as a Limited company in England, which is similar to a US LLC company. In the UK you can set up companies and not trade through them for a while and therefore have no tax liabilities.

Is there a similar thing in the US. I would like to register my business there and use a friends addresss.

The reason for this, is that many times I need to purchase stuff in the US in the company name, but they see I am a UK company and refer back to the UK office of their organisation and everything here is 3 times the price.

Any ideas how I can do this.  Of course I need this to be legitimate.. please dont send me any links to dodgy companys claiming to be able to do it and charge the earth for it.

Thre are several types of businesses. LLC's in the US are not quite the same as a Limited Company, but are usually pretty good for consultant types.

Laws governing each business vary from state to state. Delaware is a popular state of out-of-state businesses to incorporate in as the tax structure is friendly and they have a good-sizes "agent" population who can act for you within the state for a small fee.

All types of businesses require some sort of state licensing... usually with fees, and some sort of tax reporting. There's a couple of web sites around who will handle all of the regulatory details but also provide advice about individual state regulations for specific business types.
